Terms of service

These terms are between Athavita Software Private Limited (CIN U72200KA2022PTC162053, 2nd Main, 1st Cross Road, Industrial Area, BTM Layout 2nd Stage, Bengaluru, Karnataka 560076) ("we") and the business that creates a workspace ("you"). Creating a workspace accepts them. If you are accepting on behalf of a company, you confirm you may bind it.

ezmarketplaces connects to marketplace seller accounts you already hold and synchronises listings, inventory, orders, returns and settlements between them. We are not a marketplace, we are not a party to your sales, and we do not take title to goods or handle buyer payments.

You authorise us to act on your marketplace accounts to the extent you grant. Every connection starts read-only. Write access — changing a listing, a price or stock — is granted by you per channel and can be revoked at any time on the marketplace's own console without going through us.

You remain responsible for complying with each marketplace's own seller agreement. Nothing here overrides them, and where they conflict with these terms, theirs govern your relationship with them.

You own your catalogue, orders, settlements and audit trail. We hold them to run the service and for no other purpose. We do not use your data to train models, ours or a third party's, and we do not aggregate it with other sellers' to sell insights.

Do not use the service to list goods you may not lawfully sell, to manipulate marketplace rankings or reviews, to file claims you know to be false, or to process data you have no right to process. We may suspend a workspace that does, and will tell you why.

Pricing is quoted against your monthly order volume and the channels you enable, not per user. No card is required to start, and the first reconciliation pass is not charged. Fees, once agreed, are stated in your order form; that form governs if it conflicts with anything here. Taxes are extra as applicable.

We do not currently offer a service level agreement. The product has not run in production, so any uptime figure we published would be a guess. We will commit to an SLA when we have the operating history to back one, and it will be a separate document you can hold us to.

Marketplace APIs go down and rate-limit independently of us. When one does, writes queue and retry rather than being lost, and the channel is shown as degraded. That is a design property, not a promise about the marketplace's availability.

To the extent Indian law permits, neither side is liable for indirect or consequential loss, and our aggregate liability is limited to the fees you paid in the [12] months before the claim. Nothing limits liability for fraud, wilful misconduct, or anything that cannot lawfully be limited.

You may close your workspace at any time. We may terminate for material breach that is not fixed within [30] days of notice, or immediately for clause 5. On termination we stop processing, and delete or return your data on request — subject to the statutory retention in the privacy policy.

Indian law governs, and the courts at Bengaluru, Karnataka have exclusive jurisdiction.

We will give notice in the product before material changes take effect. Continuing to use the service after that accepts them; if you would rather not, close the workspace before the effective date.
